CERTIFICATE OF INCORPORATION
(As amended November 18, 1959)


Know all men by these presents, that we the undersigned, all citizens of the United States a majority of whom are citizens of the District of Columbia, desiring to associate ourselves for scientific purposes under sub-chapter three (III) of the incorporation laws of the District of Columbia, as provided in the Code of Law of the District of Columbia enacted by Congress and approved by the President of the United States, do hereby certify:

First: That the name by which this society shall be known in law shall be American Psychological Association.

Second: That the term for which it is organized shall be perpetual.

Third: That the object of this society shall be to advance psychology as a science; And the particular business of this society shall be to hold meetings for the presentation of scientific papers, to issue publications containing scientific papers and other material pertinent or necessary to the furtherance of the society's object; and in general to do and to perform every lawful act and thing necessary or expedient to be done or performed for the furtherance of the society's object as authorized by the laws of Congress, and to have and to exercise all the powers conferred by the laws of the District of Columbia upon corporations under said sub- chapter (111) of the corporation laws of the District of Columbia.

Fourth: That the number of directors for the first year of existence of this society as thus incorporated shall be nine (9).

Fifth: In the event of dissolution or termination of the Association, title to and possession of all of the property of the Association shall pass forthwith to American Association for the Advancement of Science, if then in existence and qualified for exemption under the Internal Revenue Code of 1954 as amended, and otherwise to such organization as the Board of Directors shall deem best fitted exclusively to carry out the objects and purposes for which the Association was founded.

This society reserves the right to amend, alter, or change any provisions contained in this Certificate of Incorporation in any manner prescribed by statute, and all rights conferred on members herein are granted subject to this reservation.

I, Charles W. Holmes, a Notary Public in and for the District aforesaid, do hereby
certify that W.C. Ruediger, T.W. Brockbank, John E. Anderson, parties to the
foregoing and annexed Certificate of Incorporation of the American Psychological
Association bearing date on the Second day of January, 1925, personally appeared
before me in the District aforesaid, the said W.C. Ruediger, T.W. Brockbank, John E.
Anderson being personally known to me to be the persons who made and signed the
said Certificate and severally acknowledged the same to be their act and deed for the
purposes therein set forth.

The American Association for Applied Psychology, Inc., organized in 1937 by joint
action of the Association of Consulting Psychologists and the Clinical Section of the
APA, was affiliated with the American Psychological Association on September 8,
1938. It had four organized sections, namely, Clinical, Consulting, Educational, and
Business and Industrial. Its officers were:
